April \u00fcber Prozess- und Organisationsma\u00dfnahmen zur Behandlung des COVID-19 im Bereich der Justizverwaltung, ver\u00f6ffentlicht im BOE vom 29. M\u00e4rz 2020, ist vor allem die neue Bestimmung bez\u00fcglich der Ursache f\u00fcr die gesetzliche Aufl\u00f6sung der Gesellschaft aufgrund von Verlusten hervorzuheben. <\/span><\/p>\n<p><span lang=\"DE\">Er sieht daher vor, dass zum alleinigen Zweck der Feststellung des Vorliegens des in Artikel 363.1 e) RD 1\/2010 vorgesehenen Aufl\u00f6sungsgrundes Verluste f\u00fcr das Jahr 2020 nicht ber\u00fccksichtigt werden. Wenn also das Ergebnis f\u00fcr 2021 Verluste aufweist, die das Nettoverm\u00f6gen auf weniger als die H\u00e4lfte des Aktienkapitals reduzieren, m\u00fcssen die Gesch\u00e4ftsf\u00fchrer eine Versammlung einberufen oder jeder Aktion\u00e4r kann innerhalb von zwei Monaten nach Ende des Gesch\u00e4ftsjahres gem\u00e4\u00df Artikel 365 des RD eine Versammlung verlangen, um die Gesellschaft aufzul\u00f6sen, au\u00dfer das Kapital wird ausreichend erh\u00f6ht oder verringert.<\/span>","protected":false},"excerpt":{"rendered":"<p>Unter den Bestimmungen des K\u00f6niglichen Gesetzesdekrets 16\/2020 vom 28.
